Factornix is operated by CITYHYPER GROUP LTD, a company registered in Kenya.

What Factornix provides

Factornix (CITYHYPER GROUP LTD) provides software for exploring rules-based strategy methodologies and published monthly model portfolios with target weights. Subscribers can evaluate the current model portfolio without connecting a brokerage account.

Factornix is not a broker-dealer, investment adviser or licensed financial adviser. Its research and model portfolios are for your independent evaluation and do not provide personalized recommendations. You decide whether and how to act on them. Factornix does not hold your funds or securities or exercise discretionary trading authority.

Eligibility and availability

You must be at least 18 years old and legally able to enter into these terms to use Factornix. You may use the service only where your use is permitted by applicable law and the relevant service-provider terms. We may refuse registration or restrict or discontinue access in a jurisdiction where offering or using the service is not permitted. Availability of a website or a payment option does not establish that the service is available in your jurisdiction.

Restricted Jurisdictions and Sanctions

The Service may not be used by any person or entity where providing the Service would violate applicable sanctions, export-control, anti-money-laundering or counter-terrorist-financing laws.

CITYHYPER GROUP LTD may restrict or prohibit access to the Service from jurisdictions subject to comprehensive sanctions or other legal restrictions, and may suspend or terminate accounts associated with sanctioned persons, entities, territories or prohibited transactions.

Availability of the Service in a particular country does not constitute a representation that the Service is lawful or appropriate for use in that jurisdiction. Users are responsible for complying with laws applicable to them.

CITYHYPER GROUP LTD may conduct sanctions and compliance screening and may decline, suspend or seek reversal of payment transactions through the relevant provider where required by law, payment providers, financial institutions or other regulated service providers. This does not authorize Factornix to reverse executed brokerage trades.

Accounts and subscriptions

You are responsible for protecting your login credentials and for using only brokerage accounts you are authorized to connect. Keep your contact and payment information current.

The regular price of Monthly Momentum for new subscribers is KES 1,499 per month, billed monthly, with the first payment at signup. Checkout displays the price and payment terms before you pay. Access is activated after payment and subscription verification. Existing subscriptions retain their recorded price and any previously granted trial; a new-signup offer does not replace those terms.

Founding Subscriber Offer

While the Founding Subscriber Offer is open, a first subscription to Monthly Momentum may be offered at KES 999 per month. The closing date is displayed with the offer; it may close earlier. Eligibility requires a successful paid subscription; registering an account does not reserve a place. The founding price applies only to the strategy originally subscribed to, and only to a first subscription to it.

The founding price stays in place for as long as that subscription continues, including while a failed payment is being resolved and after you resume a cancelled renewal before it ends. It is not transferable. If the subscription ends, the founding price is forfeited, and subscribing again is at the regular price then in effect.

Payments and recurring renewals are handled by Paystack. Unless you cancel renewal, your subscription renews monthly using the authorized payment method. Failed payments can affect access; check your subscription status in the portal.

Price changes

The price and billing interval shown at checkout apply to your subscription. If we change the price for an existing subscription, we will notify you by email at least 30 days before the change takes effect. The change will apply to a future renewal, not retrospectively to a paid period. You may cancel renewal before the new price applies. Until a notified change takes effect, your recorded subscription price remains in place. A founding price is not changed while its subscription continues.

Cancellation and payment questions

You can cancel renewal from the subscriber portal. After cancellation is confirmed by the payment provider, access continues through the current paid period; cancellation stops subsequent renewals. Contact us if the cancellation action is unavailable or its result is unclear.

Unlinking a brokerage account or unsubscribing from the newsletter does not cancel your paid subscription. Subscription fees are non-refundable, including for unused time in a paid period or a change of mind, except where a refund or reversal is required by applicable law. Cancelling renewal stops future renewals and does not refund the current paid period. This policy does not limit mandatory consumer rights. If you believe a charge is incorrect or unauthorized, contact us with the payment reference so it can be investigated.

Acceptable use and intellectual property

We grant you a limited, non-exclusive, non-transferable licence to access the software, model portfolios and research for your own personal, non-commercial use while you have the applicable access rights. The content and software remain the property of CITYHYPER GROUP LTD or their respective licensors; a subscription does not transfer ownership.

You must not redistribute, publish, resell or sublicense model selections, weights or research, or make your subscriber access available to others, without our written permission. You must not use the service unlawfully, access another person's account without authorization, circumvent access controls, interfere with service operation or introduce malicious code. These restrictions do not limit uses or rights that applicable law does not allow us to restrict.

Suspension and termination by Factornix

We may suspend or terminate access for non-payment, material breach of these terms, misuse, a security risk or where continued service is not permitted. Where practicable, we will explain the reason and any steps needed to restore access; an urgent security or legal restriction may require immediate action.

Suspension or termination can restrict dashboard and model-portfolio access and prevent new proposals or order submissions. It does not reverse trades or cancel orders already accepted by the broker. Contact your broker about outstanding orders when access is restricted. Renewal, billing corrections and any legally required refunds are handled under the cancellation and payment provisions above. Suspension or termination does not automatically cancel renewal; contact us if you cannot access the cancellation action.

Optional paper trading and order approval

The current broker-connected offering supports paper trading only: simulated orders and balances, not trading with real funds. The supported strategy is long-only and does not propose short selling or margin borrowing. Account eligibility checks apply; a linked strategy account must be dedicated to that strategy.

Linking an eligible account can automatically prepare proposed orders. Preparation is not submission. Each proposed rebalance requires your approval before software can transmit its orders to the broker. Approval applies to the displayed proposal and its version, not to future rebalances. If a staged proposal needs a revised approval, you must approve that revision before the affected orders can proceed.

The broker handles acceptance and execution under its own terms. Approval does not guarantee immediate submission, execution or a complete fill. Account checks, available buying power, market hours, provider availability and changes to the published model can affect progress. An order already accepted by the broker is not cancelled merely by unlinking the account or cancelling a subscription.

Model portfolios and joining during a month

A monthly model portfolio is a research target, not your account's actual holdings or a promise of identical results. Joining during a month prepares orders using the current published target and current account and market information, rather than the prices at the original monthly selection. Prices, cash availability and fractional-order constraints can cause actual holdings and weights to differ.

Performance disclosures

Methodology descriptions do not promise that performance results are available. Where results are displayed, backtested, paper-traded and live-traded results must be distinguished:

Newsletters and third-party services

The general newsletter and strategy launch lists are free and separate from paid subscriptions. Factornix uses third-party providers for payments, email, hosting and optional brokerage connections. Your use of provider-hosted services is also subject to the provider's terms.

No warranty; limitation of liability

The software and content are provided "as is," without warranties of any kind. To the fullest extent permitted by law, Factornix and CITYHYPER GROUP LTD are not liable for losses arising from your use of or reliance on the service or its content. Nothing in these terms excludes rights or liabilities that cannot lawfully be excluded.

Indemnity

To the extent permitted by applicable law, you agree to indemnify CITYHYPER GROUP LTD against third-party claims and reasonable associated costs arising from your unlawful use of the service, unauthorized redistribution of its content, or material breach of these terms. This does not cover losses caused by our own negligence or misconduct, ordinary investment losses, or liabilities or consumer rights that cannot lawfully be transferred or excluded.
